Terms & Conditions

All goods supplied by MFUK Design & Furniture Ltd (MFUK) are subject to the following terms and conditions:

Definitions:

All references to “we”, “us” and “our” in this document shall be deemed to refer to MFUK Design & Furniture Limited. Any reference to “The Company” shall be referring to MFUK Design & Furniture Limited. Singular shall be taken to also mean plural and vice versa. The website www.liangandeimil.com is the property of MFUK Design & Furniture Limited. The contents and copyright are held by The Company. Any reproduction of images and contents without the prior consent of the Company is forbidden. Whilst we make every endeavor to ensure the content of the website is correct and accurate we do not warrant this fact.

‘The Customer’ means the company or firm which places the order with the Company.

‘The goods’ means the article or item described in the order

‘The order’ means the order placed to the Company for the supply of goods

MFUK Design & Furniture Limited reserves the right to change these terms and conditions from time to time without notice to you and the changes will take place on the same day they are posted.

Trade Accounts

MFUK Design & Furniture Ltd is a trade only supplier and require evidence of business trading from potential buyers to open a trade account. The potential buyer may be required to provide documentary proof of trading in the form of business invoices, VAT certificate… etc. as well as a complete a full application form, which can be found on our website www.liangandeimil.com

The Company reserves the right to reject any application they feel is incomplete, not matching the criteria required or to cancel any trade accounts without notice.

The Company reserves the right to change trade and RRP prices at any time and without notice.

Purchase of Products & Payment

Orders of goods should be made in writing. If orders are taken over the phone, we cannot be responsible for errors which may occur. Orders are subject to deposit or satisfactory credit as described elsewhere in the terms and conditions.

Where no credit terms exist, orders require receipt of a deposit prior to confirmation. The deposit will be detailed on a pro forma invoice and shall be paid within 7 days of the order being placed. After this time, we reserve the right to cancel the order without notice. Full payment must be received prior to the goods being dispatched. We will tell you when the goods are ready, and our delivery date will be dependent on cleared funds. Payment is always in Sterling and we accept ONLY bank transfer payments. Where credit terms exist the terms of the agreement must be adhered to. Failure to adhere to the terms set out may lead to a suspension of the credit account without notice. We reserve the right to charge interest of late balances at 5% above the lending rate of The Barclays Bank, varying from time to time. Where payment is being made from foreign banks or where the transaction incurs fees please ensure that the funds received in Sterling are sufficient to amount of the invoice, after exchange rate movement and bank charges. The title of the goods does not pass, and they remain the property of the Company until all monies owing have been paid.

Stock of products

Liang & Eimil proudly holds the majority of items in stock and available to customers on short lead times. However, stock showing on our website is not guaranteed as it is not updated on a live basis and we receive orders from our customers in many ways. Whilst we try our best to update the stock on our website as frequently as possible to improve accuracy, if there is any discrepancy between actual stock and stock showing on our website we will inform you once we receive your order.

Formation of contract

All contracts made by The Company are subject ONLY to these terms and conditions of trading and they will exclude all terms contained in any document issued by the customer.

Trading terms

The Company reserves the right to review prices, terms, product ranges and finishes at any time, and therefore these may be subject to changes without notice.

The Company reserves the right to enforce the selling of our products on customer websites at least at the minimum RRP shown in our price list.

All our products listed or sold on a third party website must be shown under the brand name of the seller: ‘Liang & Eimil’.

Pricing Policy

The prices quoted are in sterling and are excluding VAT, carriage and installation at the relevant rate unless otherwise stated. The Company reserves the right to change prices at any time and without prior notice. Where goods have been ordered and the price of the goods are increased between the point of order and the point of despatch the customer will have the right to cancel and receive a full refund. Invoices include value added tax at the appropriate rate. Where goods are being sent out of the EU, and we are not supplying the delivery service, we will require proof of export before any VAT can be returned. In these cases, the invoices will be raised including VAT deposit and we will require full payment of the invoice before we release the goods for shipment. Where goods are being sold to a VAT registered client in an EU state, we require a valid VAT number before we can release goods without the payment of VAT. If we are not organizing the export of the goods, we will also require proof of export to exempt the sale from UK VAT.

Should any written invoices issued by the company show any price discrepancies with the prices showing in the company price list or the company website, the prices in the company price list or the company website will prevail. Where pricing on the invoice is lower than the approved company price the customer will be required to pay the difference before the can be released. Where pricing on the invoice is higher than the approved company price the customer will be issued a revised, corrected invoice and excess payments will be credited to the customer account.

RRP means Recommended Retail Price. MFUK Design & furniture Ltd provides minimum recommended selling prices for all our home funishing collections.

The Company reserves the right to enforce the selling of our products on customer websites at least at the minimum RRP shown in our price list.

Returns, damage and unwanted or dispute goods

In the unlikely case that you receive a product which is damaged or incorrect in any way, we will do our very best to repair, replace or refund the product. In some circumstances a replacement will be invoiced to you in order to send you a replacement. In this instance a credit or refund will be issued to you once the original items have been returned to us in the condition they were delivered in. We reserve the right to collect the faulty goods and give a full refund without offering a replacement or repair. The Company will not be held responsible for any loss or costs caused to the customer.

In order to assist us in providing an excellent service and to avoid ambiguous situations we ask that all damaged or unwanted item be reported to our customer service team within 48 hours of receipt of delivery.  Any such reports should be submitted by completing the Returns Form on our website  https://www.liangandeimil.com/returns/ with appropriate pictures of any defects.

After 48 hours of receiving delivery, we cannot be held responsible for any product found to be damaged. Where we are requested to deliver to a warehouse or other holding location it will be the buyer’s responsibility to ensure the goods are fully checked in line with our notice period above. We will not be liable for damage discovered more than 48 hours after we have delivered of the goods. We do not accept damage claims that have resulted in misuse of the product or in installation. We do not accept damage claim once the product being installed. Any damage has to be checked and reported to us before installation.

Where the Company agrees to repair a product, we will work with the customer to effect this quickly and efficiently. Due to the nature of the product and often specialist finishes, we cannot always give accurate timescales for the completion of such a repair. We require skilled craftspeople to complete repairs to the appropriate standard. We will do our utmost to procure these services as quickly as possible but sometimes such services are not readily available. If we consider the time to repair unreasonable, we reserve the right to collect the product and supply a full refund.

Where goods are returned without defect, we are happy to accept undamaged, boxed product in its original inner and outer packaging for credit to the customer’s account. We ask that clients return unwanted product within 10 working days of receiving it. We will not accept a return of product more than 10 working days following delivery. We do charge 20% restock fee on the return of undamaged, boxed product in its original packaging. We also require that the product is returned to our warehouse. We will be able to process a credit in 3 working days following the receipt of the goods in the warehouse. Returns of goods from the Customer will not be accepted without the previous consent of the Company and any costs involved will be the responsibility of and borne by the Customer.

All items to be returned must be in the original packaging (including bubble wrap and cardboard) and ready for loading when the driver arrives to collect them. Drivers will refuse to collect any items that are not packed adequately as outlined in this section. Please ensure that the persons unwrapping the goods are very careful and keep the inner and outer wrapping of the original packaging intact. The original packaging is essential in preventing the items’ safe transportation and preventing damages on return. Under no circumstances can we accept returns that do not have the original packaging.

If goods are to be returned, the customer must request a collection in writing within 72 hours of receipt of the items, giving notice to the Company that the goods (or any part thereof) will be ready for collection. The Company will arrange for collection on the next available transport. All returned goods are subjected to a full Quality Control inspection before any decision regarding refund is made. MFUK Design & Furniture Ltd reserves the right to make the final decision on whether an item is defective or not. The value of the refund issued to the Customer is at the Company’s discretion and each case will be considered on its own merit. When the decision to refund has been made a Credit Note will be issued to the Customer.

Our contractual relationship is with the purchaser of the goods (our customer). Any dealings in relation to the return, repair, replacement or refund of a product, or any customer relations, will be conducted with our customer. Where our client is an interior designer and the goods have been purchased to sell on to a third party, we will have no contractual relationship with that third party. As such, all after-sales care will be conducted with our customer and not any third parties with whom we have no contractual relationship.

Deliveries

The Company’s standard delivery is one-man delivery only a business address. We also provide delivery to a residential address or we can deliver directly to a third party (i.e. the buyer’s client) at an extra service charge to be added to the standard delivery cost of the order. We require at least a representative of our trade customer to be present on the delivery address if the delivery is to a residential address or a third party. Alternatively, trade customers can arrange collection at our warehouse given previous notice.

Standard lead-time for delivery is five to ten working days after receipt of full payment, unless otherwise stated.

All deliveries are standard with a one man drop to the entrance of the front door on the ground floor unless otherwise specified and the surcharge has been paid. All deliveries are made Monday to Friday between 9am and 5.30 pm. All deliveries must be signed for. The delivery date will be notified in advance by email. If there is no one to sign for the delivery, the goods would be taken back to the Company and the customer will be charged for the re-delivery of the goods.

Where goods are received packaged, we strongly advise that the goods are unpacked and inspected within 48 hours so any issues can be reported within the claims timeline. After this time, we will not accept responsibility for damage or any issues with the goods delivered (please refer to the “Returns” section above).

The customer’s premises must have good access and be within proximity of the delivery point. Our standard delivery includes delivery to a front door without steps only. The drivers are unaccompanied, and they may require assistance with unloading, otherwise please enquire for our upgraded delivery service when placing the order.

Please note our insurance only covers us for deliver the goods to your front door and does not extend to moving items inside your property. Therefore, the Seller is not liable for any damages caused by drivers carrying stock into the Customer’s premises. Drivers must remain with their vehicle and must not leave the vehicle unattended.

All of the Company’s vehicles have a multi-drop schedule, therefore it is not possible to state an exact delivery time. We can usually inform the customer in advance of the day and whether then delivery will take place in the morning or afternoon.

Certain items are required to be checked by our trade customers in front of the driver at the time of the delivery. This will be stipulated in advance by the seller per email. In these cases it is the Customer’s responsibility to arrange a representative to check these items. Failure to check these items could result in invalidating your claims on any damages.

All delivery notes must be signed, and name printed by the Customer in front of the driver. In the unlikely event that the quantity of boxes is less or exceeds the quantity indicated in the delivery note, the actual quantity unloaded shall be recorded in writing and counter-signed by the Customer on the delivery note.

Collection by Customer from our warehouse

We are happy for our customers to organise collection from our warehouse in Enfield, London, UK. Any collection should be booked in at least 72 hours in advance by email. We will confirm the collection by email according to the availability of our warehouse. No discounts are available where customers choose to arrange their own collection. When goods are collected by a customer or by third party carriers we require that the goods are inspected at the point of collection. We accept no responsibility for loss or damage to the product once it has been collected from us.

We request at least 24 hours’ notice if you want to change the date of the collection or cancel the collection. Cancelled or changed collections within 24 hours of scheduled bookings may incur a surcharge.

The charging scale for failed collection beyond 24hrs of the scheduled time is outlined below. The charges do not include potential administration fees; the charges denote only manpower and backlog management.

When a product is available for delivery, we will inform the client and agree a delivery / collection time. Where goods are not required immediately, we will be happy to store them for the client for a period of 60 days from the date they first became available for delivery. After this we reserve the right to charge storage at the rate of £25 plus vat per week per item for items under 1m cubed when packaged and £50 a week for items in excess of this size. After 6 months we reserve the right to cancel the order and refund the item (less storage charges). Where the items are customized no refund will be given in line with our terms on cancellation of custom orders.

Carriage is an additional charge and non-refundable.

The Seller reserves the right to not arrange delivery for certain orders to certain areas in which case the buyer will be required to arrange collection from the Seller’s warehouse.

Use of goods

All of our furniture is suitable for residential domestic and light commercial use only. All upholstery is suitable for domestic use.

Internet Sales 

All online retailers are required to get authorization from the Company for each product of our collection that they would like to sell online. The Company also can provide high resolution images.

All our products sold in a third-party website should appear under the Company’s brand name ‘Liang & Eimil’ and under the Seller’s product name. The retailer may not change the product name unless authorized to do so in writing by the Company.

The Company reserves the right to enforce the selling of our products on customer websites at least at the minimum RRP plus VAT shown in our price list. Please request the most up to date copy of the price list regularly to ensure compliance.

As the Company’s stock changes regularly and the stock on the Seller’s website is not updated on a live system, the Company cannot guarantee stock unless the stock is secured for you with paid deposit.

Images of product as well as lifestyle room shots on our website or provided by the Company may only be used with written consent from the Company and they should be shown with the Company’s brand name ‘Liang & Eimil’.  Any customers wishing to use the images of the Company’s products in print or digital media must apply for written permission on an item by item basis. No imagery provided by or sourced from online sources and created by the company shall be used without the mention or association with ‘Liang & Eimil’ unless expressly permitted in writing by the Company.

All designs are the property of the Company and under no circumstances are to be reproduced or copied. Copyright law applies.

The Company’s products must not be searchable by product code alone, through any major search engines. The Company do not approve of using ‘multi retailer’ shopping cart systems for selling and does not allow MFUK Design & Furniture products to be sold in this way.

The Company does not allow sales, advertising or promotion of Liang & Eimil products on platforms such as eBay, Amazon or other Multi Retailer selling websites and Social Media sites.

The Company can only arrange delivery to the account address or the warehouse of the Retailer. The Company does not arrange delivery to Retailers’ customers.

New applications from customers without retail premises which are open to the public may be refused at the Company’s own discretion.

Cancellations

All orders must be cancelled in writing via email. Orders can only be cancelled before dispatch. Once the goods included in the order have left the Company’s warehouse the full delivery and return cost will be incurred.

Product Design and Characteristic

All designs are the property of MFUK Design & furniture Ltd and under no circumstances are to be reproduced or copied. Copyright law applies.

We make every effort to ensure the product description is correct and accurate in all publications. However, our products are often made of natural materials, none of which are identical. Often each piece is subtly different from the next in shade, colour and/or texture. This is particularly true of products that contain natural materials. The products photographed in our marketing are representative of the item but may not be an identical match to another piece due to the variations in materials as noted above. Customers concerned about the matching of products should contact our sales staff who will be able to talk in detail about the individual products they are interest in.

We may occasionally alter or slightly change the design of the items. We cannot accept these as a fault. We reserve the right to change specification without prior notice.

ALL OUR PRODUCTS ESPECIALLY METAL AND GLASS FURNITURE AND UPHOLSTERY PRODUCTS ARE HANDMADE AND BECAUSE OF THIS, EACH PIECE HAS DIFFERENT SMALL VARIATIONS AND HAND MADE RELATED FINISHES. THESE ARE THE CHARACTERISTIC OF THE HANDMADE FURNITURE AND IT IS NOT A DEFECT. METAL FURNITURE HAS TO ALLOW FOR SMALL WELDING POINTS AT THE JUNCTIONS THAT ARE NECESSARY TO JOINT THE DIFFERENT PARTS TOGETHER. THESE QUALITIES ARE SPECIAL TO ALL HANDMADE METAL AND GLASS FURNITURE. NO REPLACEMENT CAN BE PROVIDED FOR THE ITEMS WITH THESE CHARACTERISTICS.

SOME HANDLES ARE 100% HAND-MADE HANDLES. EACH PIECE HAS DIFFERENT SMALL VARIATIONS AND HAND-MADE RELATED FINISHES INCLUDING SMALL WELDING POINTS AT JUNCTIONS AND NOT BEING COMPLETELY STRAIGHT, SQUARE OR FLUSH. THERE ARE THE CHARACTERISTIC OF THE HAND-MADE ITEMS AND IT IS NOT A DEFECT. NO REPLACEMENT CAN BE PROVIDED FOR THE ITEMS WITH THESE CHARACTERS.

ALL OUR PRODUCTS CONTAIN NATURAL MATERIALS COULD HAVE SOME COLOR AND DIMENSION VARIATION FROM THE INFORMATION GIVEN. THESE ARE THE CHARACTERISTIC OF THE NATURAL MATERIALS.

Standards

All Liang & Eimil upholstery products are compliant with British fire rating standards for residential use only. All Liang & Eimil lighting are with CE certificate.

Guarantee

All Liang & Eimil products carry a first-year manufacture’s guarantee. This guarantee does not apply to accidental damage, misuse of the item or damage caused by improper assembly. We will replace or refund the invoice value of the goods supplied under this contract which fail in normal use and service and which are returned to us within twelve months from the date of invoice.

Save as expressly herein provided and save in respect of death or personal injury resulting from the negligence of the Company, the Company shall be under no liability for, or in respect of, any defect in or failure or unsuitability for any purpose of the goods or any part thereof whether the same be due to any act, omission, negligence or wilful default of the Company or its servants or agents or to faulty design, workmanship of material or any other cause whatsoever. This warranty is in lieu of and excludes all other warranties and conditions expressed or implied whether under common law statute or otherwise.
