Application of the Terms
1.1 These terms (Terms) are applicable to all agreements between MFUK Design & Furniture Ltd (Supplier) and the distributor whereby the Distributor purchases products from MFUK Design & Furniture Ltd (Supplier Products)
1.2 The Distributor undertakes that all third parties involved with the resale of MFUK Design & Furniture Ltd products comply with (mutatis mutandis) the applicable agreement terms.
1.3 The Distributor undertakes to agree with its trade customers of MFUK Design & Furniture Ltd – products that these Terms (mutatis mutandis) are applicable to their agreement.
Presentation
2.1 The Distributor offers MFUK Design & Furniture Ltd -products and images thereof only in a (digital or physical) environment that does justice to the quality, style and exclusive image of MFUK Design & Furniture Ltd.
2.2 The Distributor shall not stimulate the sale of MFUK Design & Furniture Ltd products in a manner that may damage the image or reputation of the Supplier’s brand/s.
2.3 No low prices or discounts for MFUK Design & Furniture Ltd – products shall be promoted through aberrant expressions (such as brightly colored advertising notices).
Use of Trademarks
3.1 The brand name Liang & Eimil and the Liang & Eimil logo are internationally protected trademarks of MFUK Design & Furniture Ltd (MFUK Design & Furniture Ltd trademarks).
3.2 The Distributor will refrain from using the MFUK Design & Furniture Ltd trademarks in a way that may be harmful to the distinctive character or the reputation of the Supplier’s brand/s.
3.3 The Distributor may display the Liang & Eimil trademarks in sales promotion of MFUK Design & Furniture Ltd – products and in an overview of the brands that are offered for sale.
3.4 In advertisements or digital marketing, MFUK Design & Furniture Ltd trademarks may only be used in combination with ‘dealer’, ‘distributor’ or ‘point of sale’. The proportion of display of the MFUK Design & Furniture Ltd – trademarks must be in accordance with good customs in the market.
Use of Images
4.1 MFUK Design & Furniture Ltd is the owner of the copyrights to the product photos (Product Photos) that are used by MFUK Design & Furniture Ltd in its promotional material and on its website.
4.2 The Distributor shall only use in his promotional materials photos of products that are active with MFUK Design & Furniture Ltd at that time. Product photos of products that are no longer offered by MFUK Design & Furniture Ltd may not be use unless otherwise agreed in writing.
4.3 The Distributor shall only use images and logos provided by Liang & Eimil in connection with MFUK Design & Furniture Ltd products and in no way dissociated from any MFUK Design & Furniture Ltd brand. No imagery provided by or sourced from online sources and created by the company shall be used without the mention or association with ‘Liang & Eimil’ unless expressly permitted in writing by the Company. To use images of the Company’s products or lifestyle images created by the company in print or digital media, the re-seller must apply for written permission on an item-by-item basis.
Website Distributor
5.1 The extent to which the MFUK Design & Furniture Ltd trademarks and MFUK Design & Furniture Ltd products are presented on the website(s) of the Distributor (Website) must be proportional to the current business volume of MFUK Design & Furniture Ltd products.
5.2 Under no circumstances may the use of MFUK Design & Furniture Ltd trademarks, Product Photos, Style Impressions and other expressions referring to MFUK Design & Furniture Ltd create confusion on the part of visitors of the Website regarding the identity of the Website, this to sole discretion of MFUK Design & Furniture Ltd.
5.3 The identity of the Distributor must always be clearly visible on its Website, in order to avoid all confusion regarding the identity of the owner of the Website.
5.4 Landing pages must in terms of style be made in accordance with the common layout used by the Distributor.
5.5 It is not allowed to let an internet user browse to a page on the Website by using any MFUK Design & Furniture Ltd trademarks, when on this web page the sale of non MFUK Design & Furniture Ltd products is (also) promoted.
5.6 Deep links to the website of MFUK Design & Furniture Ltd are allowed. Framed links to the website of MFUK Design & Furniture Ltd are allowed, unless MFUK Design & Furniture Ltd explicitly notifies to the dealer that it does not agree to this use. “Home” buttons may only lead to the home page of the Website.
5.7 It is not permitted to use the name ‘Liang & Eimil’ or any other brand owned by MFUK Design & Furniture Ltd in a domain name. Using a specific subpage named ‘Liang & Eimil’ is only permitted upon written consent from MFUK Design & Furniture Ltd.
5.8 It is not permitted to sell Liang & Eimil products on 3rd party websites or social media selling channels such as ebay, amazon that have not been approved. Any separate channels shall be approved in writing by MFUK Design & Furniture Ltd
5.9 All online retailers are required to seek authorization from the Company for each product of our collection that they would like to sell online.
6.0 All our products sold in a third-party website should appear under the Company’s brand name ‘Liang & Eimil’ and under the Seller’s product name. The retailer may not change the product name unless authorized to do so in writing by the Company.
6.1 The Company reserves the right to enforce the selling of our products on customer websites at least at the minimum RRP plus VAT shown in our price list. Please request the most up to date copy of the price list regularly to ensure compliance.
6.2 As the Company’s stock changes regularly and the stock on the Seller’s website is not updated on a live system, the Company cannot guarantee stock unless the stock is secured for you with paid deposit.
6.3 The Company’s products must not be searchable by product code alone, through any major search engines. The Company do not approve of using ‘multi retailer’ shopping cart systems for selling and does not allow MFUK Design & Furniture products to be sold in this way.
Remedies
6.1 A Distributor is not permitted to sell or to offer MFUK Design & Furniture Ltd products if they are acting in violation of these Terms.
6.2 MFUK Design & Furniture Ltd has the right not to supply a Distributor when he is acting in breach of these Terms.
6.3 The Distributor acknowledges competence of the British courts for all claims (direct or indirect) associated with these Terms.
Adaptations to these Terms
7.1 MFUK Design & Furniture Ltd reserves the right to amend these Terms.
7.2 In selling and promoting MFUK Design & Furniture Ltd products, the Distributor is bound to the most recent version of the Terms, as soon as he becomes aware of the fact that the Terms have been amended.
