All goods supplied by MFUK Design & Furniture Ltd (MFUK) are subject to the following terms and conditions:

Definitions:

‘The Seller’ means MFUK Design & Furniture Ltd

‘The Buyer’ means the person, company or firm which place the order with the seller.

‘The goods’ means the article or item described in the order

‘The order’ means the order placed by the buyer for the supply the good

MFUK Design & furniture reserves the right to change these terms and conditions from time to time without notice to you and the changes will take place on the same day they are posted.

Trade Accounts

MFUK Design & Furniture Ltd is a trade only supplier and require evidence of business trading from potential buyer to open a trade account with us. The potential buyer will provide documentary proof of trading in the form of business invoices, VAT certificate… etc. as well as a completer full application form, which can be found on our website www.liangandeimil.com

The Seller reserve the rights to reject any application they feel is not matching the criteria required or to cancel any trade accounts without notice.

The Seller reserves the right to change prices at any time and without notice

Purchase of products

Orders will not be processed without written confirmation either by fax, email or post.

Please note, when the Buyer place an order for items that are in stock we will issue a pro-forma and the stock will be automatically allocated to you for a maximum of five working days. After that period, if the order hasn’t been pay, the Seller reserves the right to release again the items and to cancel the order. Order on pro-forma bases can be secure with 50% payment of the total of the order.

Stock of products

Stock showing on our website is not guaranteed as it is not updated timely and we receive orders from our customers via many different ways. We try our best to update the stock on our website as frequent as possible to improve the accuracy. if there is any discrepancy on the stock showing on our website we will inform you once we receive your order via our website.

Formation of contract

All contracts made by The Seller are subject to these terms and conditions of trading and they will exclude all terms contained in any document issued by the customer.

Trading terms

The seller reserves the right to review prices, terms, product ranges and finishes at any time, and therefore these are subject to changes without notice.

The seller reserves the right to inforce you to sell our products in your website at least at the minimum RRP shown in our price list.

All our products sold in a third party website will have to be shown under the brand name of the seller: ‘Liang & Eimil’.

Pricing Policy

Prices in our published price list are quoted in pounds sterling and do not include VAT, carriage and installation. VAT will be charged at the rate applicable on the date of the invoice.

It is the seller’s policy to comply with the Code of Practice for Traders on price indications issued by the D.T.I Customer and Competitions Police Directory.

RRP means Recommended Retail Price. MFUK Design & furniture Ltd provides a minimum recommended selling prices for all our furniture collections.

The seller reserves the right to enforce to sell our products on third party internet website at least at the minimum RRP shown in the seller’s price list.

The Seller reserves the right to change prices at any time and without notice.

Should any written invoices issued by the company show any price discrepancies with the prices showing in the company price list or the company website, the prices in the company price list or the company website must be prevailed and the client is entitled to pay the difference before the items could be released.

Deliveries

The Seller’s standard delivery is one man delivery only a business address. We also provide delivery to a residential address or we can deliver directly to a third party (i.e. the buyer’s client) at a extra service charge to be added to the standard delivery cost of the order. and we require at least a member from our trade customer to be present on the delivery address if the delivery is to a residential address or a third party. Alternative trade customers can arrange collection at our warehouse given previous notice.

Standard lead-time for delivery is five to ten working days after receiving full payment, unless otherwise stated.

All deliveries are standard with a one man drop to the entrance of the front door on the ground floor unless otherwise specified and the surcharge has been paid. All deliveries are made Monday to Friday between 9am and 5.30 pm. All deliveries must be signed for. The delivery date will be notified in advance by email. If there is no one to sign for the delivery the carrier will leave notification and it will therefore be the responsibility of the recipient to contact the delivery company and make further arrangements and a delivery charge for re-delivery applies.

Buyer’s premises must be in a good road access and with close proximity of the delivery point. Our standard delivery include delivery to a front door without steps only. The drivers are unaccompanied and they may require assistance with unloading, otherwise please inquiry for upgraded delivery service while placing the order.

Please note our insurance only covers us for delivery to your door and does not extend to moving items inside your property. Therefore, the Seller is not liable for any damages caused by drivers carrying stock into the Buyer’s premises. Drivers must remain with their vehicle and must not leave the vehicle unattended.

All of the Seller’s vehicles operate a multi-drop facility, therefore it is not possible to state an exact delivery time, but the Seller can usually inform the Buyer of the day and whether am or pm.

Certain items to be checked by our trade customers in front of the driver at the delivery which will be informed in advance by the seller by email. The buyers hold the responsibility to arrange someone to check these items. Failure to check these items could result in invaliding your claim on any damage.

All delivery notes must be signed and name printed by the buyer and the driver delivering the order. In the event that the quantity of boxes is less or exceeds the quantity indicated in the delivery note, the actual quantity unloaded shall be recorded in writing and contra-signed by the buyer and the driver delivering the goods in both copies of the delivery note.

Carriage is extra and non-refundable.

The Seller reserves the right to not arrange delivery for certain orders but request the Buyer to arrange collection from the Seller’s warehouse.

Deliveries

The Buyer can arrange collection with their own transportation from the Seller’s warehouse. Any collection should be booked in at least 48 hours in advance by email. The Seller’s will confirm the collection by email according to the availability of its warehouse. Cancellation of the confirmed collection should be requested at least 24 hours in advance otherwise a handling fee will be charged by the Seller for re-arranging collection.

All the goods to be checked by the Buyer before collection in order to be ensured the goods are collected without any damage. The Seller should not take responsibility on damage happened after the collection.

Terms of Payment and passing of property

For customers trading on a pro-forma basis, all orders require a 50% deposit to secure the goods, the balance due prior to collection or five to seven days before delivery by the seller. Overdue payments will accrue interest rate of 2.5% per month. Deposits are non-refundable on cancelled orders; however a credit note will be issued for future use.

For customers trading on credit/invoices basis, all invoices must be paid in full no later than the specified due date according to the credit terms agreed with MFUK. Should our account fail to be paid according to the agreed terms we reserve the right to levy a compound interest charge on the amount outstanding at a rate of 2.5% per month from the date of invoice until payment is received.

All items remain in the property of the Seller until paid in full.

If a confirmed delivery is aborted at the request of the buyer, a £60 + VAT charge will be applied

Use of goods

All of our furniture is suitable for domestic and light commercial use only. All upholstery is suitable for domestic use.

Internet Sales 

The online retailer should get previous authorization from the Seller for each product of our collection that they would like to sell in the online shop. The Seller also can provide high resolution images.

All our products sold in a third party website should appear under the Seller’s brand name, ‘Liang & Eimil’ and under the Seller’s product name. The retailer cannot change the product name.

The seller reserves the right to enforce to sell our products on your websites at least at the minimum RRP shown in seller’s price list. Please request the most up to date copy of the price list.

As the Seller’s stock changes each second and the stock on the Seller’s website is not updated automatically and timely, the Seller doesn’t take the responsibility on the items run out of stock when the order is placed with us unless the stock is secured for you with paid deposit.

Images from the Seller’s website or provided by the Seller separately can only be used with written consent from the seller and they should be shown under the seller brand name ‘Liang & Eimil’.  Any customers wishing to place the images of the seller’s products on either their own or another third party websites must apply for written permission for each item to be displayed.

The seller can provide photographic material for the use of the buyers marketing literature, but the studio/room shots settings must not be use on any of the buyer’s websites or marketing material.

All designs are the property of MFUK and under no circumstances are to be reproduced or copied. Copyright law applies.

The buyer’s products must not be searchable by product code alone, through any major search engines. The seller do not approve of using ‘multi retailer’ shopping cart systems for selling and does not allow MFUK Design & Furniture products to be sold in this way.

The Seller do not allow to sell, advertise or promote Liang & Eimil products on eBay, Amazon , Multi Retailer selling websites and Social Media sites.

The Seller can only arrange delivery to the account address or the warehouse of the Retailer. The Seller doesn’t arrange delivery to the customers of the Retailers. The retailer can arrange collection from the Seller.

New applications from customers without retail premises which are open to the public could be refused at the seller own discretion.

Returns, damage and disputed goods

The seller provides seven (7) days return policy. Any goods that fulfill these requirements must be returned in the original inner and outer packaging without any damage and writing on the box. Returns to be agreed by the seller and the full delivery and returns costs will be incurred. For any returned orders cancelled by the customer a credit note will be issued for future use and 20% restock fee applies..

The buyer must inspect cartons from transit damage before signing in your delivery. The buyer must inspect the condition of the goods immediately and report any shortages, damages or discrepancies within 48 hours upon the delivery by email to customerservice@liangandeimil.com including photographic image of the damage. If the buyer fails to give such notice the condition of the goods shall be deemed to be in all respects in accordance with the contract and the buyer shall be bound to accept and pay for the same accordingly. Credit/replacement goods will not be entertained after this period. The seller does not accept damage claims that have resulted in misuse of the product.

The seller is unable to accept returns of any items that have not been delivered by MFUK Design & Furniture Ltd. The Seller will not be held responsible for any damages incurred via a third party carrier/couriers including own transport. All goods must be checked within 48 hours before transporting on to end user. The Seller will not accept items returned for credit (except for manufacturing faults) when the buyer has used a third party carrier to collect from the Seller or deliver goods to the third location, including its own transport. It is recommended that the buyer ensures any transport company, collecting or delivering on the buyer’s behalf, have the necessary insurance in place.

The Seller will not be held responsible for any damaged item once the item is installed/built unless the item is with manufacturing faults.

Returns of goods from the buyer are not accepted without the previous consent of the seller and any costs involved to be paid by the buyer.

For damaged and faulted products or parts which can be replaced, the seller would offer a replacements or repair. If it is not possible to be repaired or replaced, the seller will arrange the collection of the item and issue a refund with a week. The Seller will not be held responsible for any lose or cost caused to the buyer.

All items need to be sent back to us or to be ready for collection in maximum one week from the day the buyer confirm the goods are going to be returned, the buyer has to notify the items are ready for collection in writing during that period. If the goods are not send back during that period or the buyer do not confirm in writing the items are ready for collection your request for returning or uplifting the goods will be cancelled and not credit will be used.

All items to be returned must be in the original packaging (including bubble wrap and cardboard) and ready for uplifting when the driver arrives to collect them. Drivers will refuse to collect any item that is not packed with adequate package indicated in this section.

Please ensure that the person unwrapping the goods are very careful and keep the inner and outer wrapping of the original packaging intact. The original packaging is essential in preventing the items to be damage on return. Under not circumstances we can accept returns that do not have the original packaging.

All returned goods are subjected to a full Quality Control inspection before any decision regarding refund is made. MFUK Design & Furniture Ltd has the the right to make the final decision on whether an item is defective or not. The value of the refund issued to the Buyer is at the Sellers discretion and each case will be considered on its own merit. When the decision to refund has been made a Credit Note will be issued to the Buyer.

Cancellations

All orders must be cancelled in writing via email. Orders can only be cancelled before dispatch. Once the good included in the order have left the sellers warehouse the full delivery and return cost will be incurred.

Product Design and Characteristic

All designs are the property of MFUK Design & furniture Ltd and under no circumstances are to be reproduced or copied. Copyright law applies.

All goods supplied by the seller are handmade and hand painted, the Seller cannot therefore accept any responsibility for slight variations in color, size or shape as these are only offer as a guide. We may occasionally alter or slightly change the design of the items. We cannot accept these as a fault. We reserve the right to change specification without prior notice

ALL OUR PRODUCTS ESPECIALLY METAL AND GLASS FURNITURE AND UPHOLSTERY PRODUCTS ARE HANDMADE AND BECAUSE OF THIS, EACH PIECE HAS DIFFERENT SMALL VARIATIONS AND HAND MADE RELATED FINISHES. THESE ARE THE CHARACTERISTIC OF THE HANDMADE FURNITURE AND IT IS NOT A DEFECT. METAL FURNITURE HAS TO ALLOW FOR SMALL WELDING POINTS AT THE JUNCTIONS THAT ARE NECESSARY TO JOINT THE DIFFERENT PARTS TOGETHER. THESE QUALITIES ARE SPECIAL TO ALL HANDMADE METAL AND GLASS FURNITURE.

ALL OUR PRODUCTS CONTAIN NATURAL MATERIALS COULD HAVE SOME COLOR AND DIMENSION VARIATION FROM THE INFORMATION GIVEN. THESE ARE THE CHARACTERISTIC OF THE NATURAL MATERIALS.

Guarantee

All MFUK products carry a first year manufacture’s guarantee; however this does not cover accident damage or misuse of the item or damage caused by improper assembly. MFUK will replace or refund the invoice value of the goods supplied by it under this contract which fail in normal use and service and which are returned to MFUK within twelve months from the date of invoice.

Save as expressly herein provided and save in respect of death or personal injury resulting from the negligence of the Seller, the Seller shall be under no liability for, or in respect of, any defect in or failure or unsuitability for any purpose of the goods or any part thereof whether the same be due to any act, omission, negligence or willful default of the Seller or its servants or agents or to faulty design, workmanship of material or any other cause whatsoever. This warranty is in lieu of and excludes all other warranties and conditions expressed or implied whether under common law statute or otherwise.
